The ThomasNet.com Chopper Sweepstakes Official Rules. No purchase is necessary to enter or win. A purchase will not increase your odds of winning. The odds of winning depend on the number of eligible entries received. Void outside the fifty (50) United States and the District of Columbia and where prohibited by law.

The Sweepstakes entry period will begin at 12:01 AM (ET) on 8/16/04 and end at 11:59 PM (ET) 4/1/05. In order to be eligible, entries must be received during this period without exceptions.

WHO IS ELIGIBLE: The Sweepstakes is open to individuals who are at least 18 years of age and have internet access prior to 8/16/04 and who are legal residents and currently residing in any one of the fifty (50) states of the United States of America or the District of Columbia (excluding, without limitation, overseas military installations, Puerto Rico or other United States of America territories), and who have a valid driver's license from one of said fifty (50) states of the United States of America or the District of Columbia. Neither employees officers, contractors nor directors of Thomas Industrial Network, Inc, Creative Media Group, Inc and/or any of their respective advertising agencies, nor employees of any parent company, subsidiary, vendor or affiliated company of these companies, nor any immediate family member (spouse, parents, siblings and children) or individual residing in the same household as any such employee or individual is eligible to enter, participate or win. Void where prohibited or restricted by law

PRIZE AND CONSUMER DISCLOSURE: One grand Prize will be awarded. The Grand Prize is a custom T - Rex Soft tail chopper motorcycle built by Orange County Choppers with an approximate market value of $58,000. Cash Alternative $20,000. Winner is responsible for all taxes fees and costs associated with receipt of the prize.

HOW TO ENTER: To Enter the ThomasNet.com Chopper Sweepstakes an entrant must complete the official entry form located at http://chopper.thomasnet.com. The entrant must complete all fields on the entry form including a valid e-mail address and the entrant's date of birth in order to be eligible. Limit of one entry per person. Internet entry must be made by the entrant only at the ThomasNet.com web site. Entries made by any other individual or any entity, and/or originating at any other Internet web site or e-mail address, including but not limited to any commercial sweepstakes subscription notification and/or entering service site, will be declared invalid and disqualified for this Sweepstakes. Use of any device and/or computer program to automate the entry process is prohibited. By entering the contest, the entrant agrees to accept e-mail announcements relating to the contest including but not limited to, confirmation of entry e-mail and contest updates.

SWEEPSTAKES PERIOD AND DEADLINE: The Sweepstakes entry period will begin at 12:01 AM (ET) on 8/16/04 and end at 11:59 PM (ET) 4/1/05. In order to be eligible, entries must be received during this period without exception.

WINNER SELECTION AND NOTIFICATION: One Grand Prize winner will be selected at random from all eligible entries on 4/30/2005. Winner will be notified via e-mail at the e-mail address provided at the time of entry. If the e-mail address is invalid or the selected winner does not respond within 14 days of notification, an alternate winner will be selected at random from all remaining entries.

Winner will be required to provide proof of possessing a valid driver's license, issued by one of the fifty (50) states or the District of Columbia at the time of receipt of the prize or the prize will be forfeited and awarded to an alternate. The name and date of birth on the driver's license must correspond to the information provided in the sweepstakes entry or the prize will be forfeited and awarded to an alternate. The winner will be required to accept delivery of the prize at a mutually agreed upon location in the fifty (50) United States or the District of Columbia. Thomas Industrial Network, Inc. will pay for delivery of the prize to the mutually agreed upon location. The winner is solely responsible for all federal, state and local taxes, registration fees, sales tax and other costs associated with the prize awarded unless expressly included in the prize. Prize has a cash equivalent of $20,000 and the winner may elect to receive the cash equivalent instead of the motorcycle. In the event that the winner elects to take the cash equivalent instead of the motorcycle, the winner is responsible for all federal state and local taxes associated with the prize and the motorcycle will remain in possession of Thomas Industrial Network, Inc and may be reused in another promotion. Prize is not transferable or assignable.

LIMITATION OF LIABILITY: The Grand Prize is awarded "AS IS" and without guaranty or representation of any kind, express or implied (including without limitation, any implied warranty of merchantability or fitness for a particular purpose). The Released Parties (as defined below) are not responsible for the inability of winner to accept the Grand Prize for any reason, nor for any delivery or travel cancellations, delays, defects, damages or interruptions. The Released Parties (as defined below) will not replace any stolen or lost Grand Prize.

DISCLAIMER & RELEASE: By participating in the Sweepstakes, each entrant (i) assumes all liability for any damages, losses or injury sustained, incurred, caused or claimed to be caused by or to winner or any third party as a direct or indirect result of participation in the Sweepstakes and/or the acceptance, awarding, receipt, use and/or misuse of the Grand Prize, and (ii) releases and agrees to hold Thomas Industrial Network, Inc., its parent company and subsidiaries, and each of their respective officers, directors, employees, contractors and agents (together, the "Released Parties") harmless from and against any and all liability, claims or causes of action arising out of participation in the Sweepstakes and/or the acceptance, awarding, receipt, use and/or misuse of all or any portion of the Grand Prize.

Acceptance of prize constitutes permission (except where prohibited) for Thomas Industrial Network, Inc. to use winner's name, likeness, biography, statements, and/or any other mutually agreed upon promotional activities for publicity and/or advertising purposes without further compensation. Mutually agreed upon activities may include, but are not limited to: testimonial, case study, voice and public appearances. Winner will be required to execute an affidavit of eligibility and liability and publicity releases within fourteen (14) days after notice of the prize is provided, or winner will forfeit the prize.

The Released Parties are not responsible for typographical, printing or other errors in the offer or administration of this Sweepstakes, including but not limited to errors in advertising, the Official Rules, the selection, notification and announcement of the winner or the distribution of the Grand Prize, nor are they responsible for any incorrect or inaccurate information, whether caused by web site users or by any of the equipment or programming associated with or utilized in the Sweepstakes or by any technical or human error which may occur in the processing of submissions in the Sweepstakes. The Released Parties are not responsible for failed, partial or garbled telephone or computer transmissions, or for technical failures of any kind, including but not limited to electronic malfunction or damage of any network, hardware or software. If for any reason the Sweepstakes is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or other causes beyond Thomas Industrial Network, Inc.'s control that corrupt or affect the administration, security, fairness, integrity or proper conduct of the Sweepstakes, Thomas Industrial Network, Inc. reserves the right, in its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Sweepstakes. No responsibility is assumed for: any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries; or any problems or technical malfunctions of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, failure of any email or electronic entry to be received on account of technical problems or traffic congestion on the Internet or at any web site, or any combination thereof, including any injury or damage to entrant's or any other person's computer related to or resulting from participation in or downloading any materials from this Sweepstakes.

If for any reason the Sweepstakes is not capable of running as planned due to earthquake, flood, fire, storm or other natural disaster, act of God, labor controversy or threat thereof, civil disturbance or commotion, disruption of the public markets, act of terrorism, war or armed conflict (whether or not officially declared), Thomas Industrial Network, Inc. reserves the right at its sole discretion to cancel, terminate, modify or suspend the Sweepstakes without obligation or prior notice and in such event to determine the winners via random drawing from among all valid entries received up to the time of such cancellation, termination, modification or suspension.

Entrants further agree to be bound by the decisions of the judges, which shall be final and binding in all respects. Thomas Industrial Network, Inc. reserves the right at its sole discretion to disqualify any individual it finds to be tampering with the entry process, operation of the drawing, acting in violation of the Official Rules in an unsportsmanlike or disruptive manner. ANY ATTEMPT BY A CONTESTANT, INDIVIDUAL, OR ORGANIZATION TO DELIBERATELY UNDERMINE THE LEGITIMATE OPERATION OF THE DRAWING MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, THOMAS INDUSTRIAL NETWORK, INC.
